1. All items are sold "as is, where is," with all faults. All bidders are encouraged to exercise due diligence and inspect all items prior to bidding. No warranties or representations are made as to merchantability, fitness for a particular purpose, or any other matter, whether express or implied. By placing a bid, you acknowledge that you have examined the items to the extent you deem necessary, or that you have chosen not to examine them. Written and oral descriptions are statements of opinion only and shall not be construed as guarantees of any kind regarding the age, condition, materials, authenticity, or any other characteristics of the items being sold. Sola Gallery INC. does not issue refunds; all sales are final. No statement made by the auctioneer shall be deemed a warranty or an assumption of liability by Sola Gallery INC. or its consignors.
2. Bidding will begin at a price determined at the auctioneer's discretion. The auctioneer reserves the right to withdraw any lot from the sale for any reason deemed appropriate. Bids of less than one-half of the low estimate may not be accepted from any source. All lots are offered subject to a reserve, which is the confidential minimum hammer price. In executing a reserve, the auctioneer has the right to bid on behalf of the consignor until the reserve is reached. If the reserve is not met, the item may be withdrawn from the sale.
3. Online registration and bidding approval are granted at the sole discretion of Sola Gallery INC. Bidders are recommended to register at least three (3) days prior to the auction. New online bidders registered within 24 hours of the sale are not guaranteed approval and may be requested to provide additional information or a wire transfer deposit for premium lots. All correspondence must be conducted directly with Sola Gallery INC. via phone or official emails; we do not guarantee responses to third-party messaging systems or inquiries made within 24 hours of the sale. Sola Gallery INC. shall not be liable for any missed online bids resulting from clerking issues, operator error, equipment failure, connection delays, or technical malfunctions of any kind.
4. Absentee and phone bidding services are offered for convenience and must be reserved by 5:00 p.m. on the day before the auction. No additional phone bids or lot additions will be accepted on the day of the auction. Leaving an absentee or phone bid authorizes the auctioneer to open the bidding at one-half of the published low estimate. Absentee bids placed through LiveAuctioneers are executed live during the auction; therefore, the chronological order in which they are received is not a determining factor.
5. Once the auctioneer's hammer falls and a lot is declared sold, the bidding is closed and cannot be reopened. It is the sole responsibility of the bidder to ensure their bid is clearly recognized by the auctioneer prior to the fall of the hammer. We reserve the right to reject any bid deemed inappropriate or to withdraw any lot due to the lack of appropriate bidding. Withdrawn items will only be re-offered at the sole discretion of the auctioneer.
6. Payment is due immediately upon purchase for in-gallery buyers. For successful absentee, phone, and online bidders, full payment must be received within five (5) business days following the auction. Bidding on an item constitutes the client's unconditional acceptance of these Terms and Conditions. Please note that for winning bidders on LiveAuctioneers, payment will be automatically charged seventy-two (72) hours post-auction. Bidders wishing to pay via wire transfer to waive credit card processing fees must notify Sola Gallery INC. within twenty-four (24) hours of the auction's conclusion to pause the automatic charge. For all other bidding platforms or methods, your signature on our Bid Form, or acceptance of these terms, grants Sola Gallery INC. explicit permission to charge the total invoice amount (including buyer's premium and applicable taxes) to your credit card on file if payment is not received within fifteen (15) calendar days of the auction.
7. Payments must be made via cash, approved check, wire transfer, or major credit cards (MasterCard, Visa, Discover). Sola Gallery INC. reserves the right to require certified bank checks or cashier's checks for high-value purchases. Buyers unknown to the gallery who wish to pay by check must provide a current letter of credit from their bank guaranteeing sufficient funds. We reserve the right to deny a bidder number or withhold merchandise until funds have fully cleared. All international and first-time buyers are strictly required to settle invoices via wire transfer or cashier's check.
8. In the event of identical absentee bids, the earliest bid received by the gallery will take precedence. The auction progresses at an approximate pace of 35 to 45 lots per hour. Bidders are advised to align their bidding strategy with our established bidding increments.
9.Sola Gallery INC. does not handle any packing, packaging, or shipping operations. Shipping must be arranged strictly through our authorized partner shipping companies or via LiveShip. The buyer bears sole responsibility for all packaging, handling, shipping, and insurance costs, and Sola Gallery INC. shall assume no liability for any loss, theft, or damage to items once released to a carrier. Local pickups are permitted strictly by advance appointment only. Bidders must schedule a specific date and time with the gallery in advance; unscheduled arrivals or drop-ins cannot be accommodated under any circumstances.
10. All purchases are subject to applicable California sales tax unless a valid California Certificate of Resale (or equivalent out-of-state resale documentation acceptable to the California Department of Tax and Fee Administration) is fully executed and received by the gallery prior to the time of purchase. International buyers are solely responsible for all customs duties, tariffs, value-added taxes (VAT), or other assessments imposed by the destination country.
11. In the event of a breach by the purchaser, including but not limited to the failure to make full payment within the specified timeframe, Sola Gallery INC. reserves the right to pursue all available legal remedies. This includes, without limitation, canceling the sale, retaining any deposits as liquidated damages, and re-offering the property at public auction or private sale without reserve. The defaulting purchaser shall remain liable for any deficiency in the resale price, along with all costs of storage, handling, resale commissions, and reasonable attorney's fees.
12. A buyer's premium will be added to the hammer price of each lot and is payable by the purchaser as part of the total purchase price. The buyer's premium is structured as follows: twenty-six percent (26%) for all bids placed via online platforms; and twenty-two percent (22%) for all bids placed via telephone or through absentee forms submitted directly to the gallery.
13. Purchased items not removed from our facility within thirty (30) business days following the auction will be subject to a storage fee of $5.00 per day, per item. Any property remaining uncollected after sixty (60) calendar days shall be deemed abandoned. The purchaser hereby authorizes Sola Gallery INC. to resell such property on their behalf at public or private sale. The proceeds of such resale, less the accrued storage fees, handling expenses, a twenty percent (20%) auctioneer's commission, and a minimum administrative fee of $50, shall be remitted to the purchaser's address on file in full and final settlement of all obligations.
14. Endangered Species and Protected Materials: Certain property-including items containing coral, crocodile, ivory, tortoiseshell, whalebone, rhinoceros horn, or mother-of-pearl-may require special export/import licenses (such as CITES) regardless of age or value. It is the purchaser's sole responsibility to secure all necessary permits. The denial, delay, or revocation of any license shall not justify the cancellation of the sale or any delay in making full, on-time payment. Sola Gallery INC. is under no obligation to assist in obtaining these licenses.
15. Jewelry and Timepieces Disclaimer: Sola Gallery INC. provides no warranty regarding jewelry, including the authenticity, weight, quality, cut, or carat weight of gemstones and metals, or whether stones are natural, synthetic, or treated. All descriptions and weights are subjective opinions limited by mounting constraints. Furthermore, Sola Gallery INC. offers no warranty that any clock, watch, or timepiece is in working order or contains entirely original parts. All mechanical components are sold strictly "as is."
16. Platform and Digital Services Disclaimer: The website, online bidding tools, and digital services provided by Sola Gallery INC. are offered on an "as is" and "as available" basis. Sola Gallery INC. explicitly disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that digital services will be uninterrupted, secure, or error-free, or that the content therein is absolutely accurate or timely.
17. Governing Law and Dispute Resolution: These Terms shall be governed by the laws of the State of California. Any dispute, claim, or controversy arising out of this auction shall be settled by binding arbitration in California, and both parties hereby waive the right to a trial by jury or to participate in any class action lawsuit. Sola Gallery INC. reserves the right to update these Terms at any time by posting changes to its website, and it is the bidder's responsibility to review them.
