Sovereign Crown Vault LLC
Effective Date: January 15, 2026
These Terms and Conditions (“Agreement”) govern all bidding and purchasing conducted with Sovereign Crown Vault LLC (“Company”). By registering, bidding, or purchasing, you agree to be legally bound by this Agreement.
All bids constitute binding legal contracts.
1. Buyer’s Premium
A 20% Buyer’s Premium is added to the final hammer price of each lot.
The Buyer’s Premium forms part of the total purchase price and is non-negotiable.
2. Payment Terms
Wire Transfer Only
Payment must be made via overnight wire transfer.
Cleared funds must be received within five (5) business days of invoice issuance.
Title does not transfer until funds have fully cleared.
Failure to remit payment within five (5) business days constitutes default.
The Company may:
Cancel the sale
Permanently ban the bidder
Enforce liquidated damages
Initiate arbitration or litigation
Report fraudulent activity
3. Liquidated Damages
If a bidder fails to pay or engages in fraudulent bidding or auction interference, bidder agrees to liquidated damages equal to:
30% of the hammer price,
plus Buyer’s Premium,
plus attorney’s fees and collection costs.
This represents a reasonable estimate of damages and is not a penalty.
4. Shipping Policy
Items ship within twenty-eight (28) business days after cleared funds are received.
Standard domestic shipping is included at no additional charge.
Expedited shipping available at buyer’s expense.
No international shipping permitted.
5. No International Shipping
Shipping is restricted to the United States only.
No freight forwarders or export redirection permitted.
Violation voids the transaction.
6. Final Sale & Restocking Policy
All sales are final.
No refunds.
No returns.
No exchanges.
If a return is authorized at the Company’s sole discretion:
A 30% restocking fee applies.
Buyer is responsible for all shipping and insurance costs.
Item must be returned in identical condition.
Return approval is not guaranteed.
7. Auction Integrity & Criminal Enforcement
Prohibited conduct includes:
Bidding without intent to pay
Artificial price inflation
Collusive bidding
Multiple account manipulation
Attempts to damage auction results
Violators may face:
Permanent ban
Civil litigation
Recovery of financial damages
Referral to law enforcement
Filing of criminal charges where applicable
All bidding activity is digitally logged and preserved.
8. Wire Recall / Financial Reversal Protection
Buyer waives any right to initiate:
Wire recall
Fraud claim
Financial reversal
after transmission of funds.
Attempted reversal constitutes breach of contract and may constitute fraud.
9. Personal Guarantee (High-Value Lots)
For lots exceeding $25,000, the individual placing the bid personally guarantees payment, even when bidding on behalf of an entity.
Corporate shield protections are waived for unpaid balances.
10. UCC Article 2 & Secured Creditor Rights
This transaction is governed by the Uniform Commercial Code (UCC) as adopted in New Jersey.
In the event of non-payment, Sovereign Crown Vault LLC retains:
A security interest in the goods
The right to reclaim goods
The right to pursue deficiency balances
The right to file UCC-1 financing statements
Until full payment is received, the Company retains ownership rights.
11. Confidentiality
Bidder identities, transaction amounts, and proprietary auction data are confidential.
Unauthorized disclosure may result in legal action.
12. Non-Disparagement
Buyers agree not to make false, misleading, or defamatory statements regarding Sovereign Crown Vault LLC.
Violation may result in legal action and monetary damages.
13. Risk of Loss
Risk transfers upon confirmed delivery by carrier.
The Company is not responsible for:
Carrier delays
Theft after delivery
Acts of God
Incorrect buyer-provided address
14. Binding Arbitration – New Jersey
Any dispute shall be resolved through binding arbitration in the State of New Jersey under American Arbitration Association rules.
Buyer waives right to jury trial.
15. Governing Law
This Agreement is governed by the laws of the State of New Jersey.
Exclusive jurisdiction remains in New Jersey.
Buyer consents to personal jurisdiction.
16. Attorney’s Fees
The prevailing party in any dispute is entitled to recover reasonable attorney’s fees and costs.
17. Modifications
Sovereign Crown Vault LLC reserves the right to modify these Terms at any time.
Continued participation constitutes acceptance of revisions.
