1. REGISTRATION To participate in the auction, you must register with the auctioneer. The registration process requires you to provide your personal details, such as your name, phone number, and address. 2. BIDDING PROCESS When bidding, if you place the highest bid, then theitem is awarded to you, and you must pay the final bid price. Once payment is made, ownership of the item is transferred to you. Auctioneer may reject any bid, including yours, at their sole discretion. Absentee bids may be executed by Auctioneer on behalf of absentee bidders, but Auctioneer shall not be responsible for failing to execute such bids or for errors relating to their execution. THE AUCTIONEER'S DECLARATION OF THE WINNING BID SHALL BE FINAL. 3. TITLE, REMOVAL & SHIPPING Title and ownership of purchased Property transfer to the buyer upon full payment, at which point the buyer assumes all risks, including loss or damage. Purchased items must be removed by appointment within the designated pickup period. Pickup is available by appointment only on _________________________ and ________________________, between 10 AM – 3 PM. Buyers are responsible for all packing, loading, and transportation without assistance from Lewis Auction House, LLC or its agents. Any items not removed by the pickup deadline will be deemed abandoned, and the Auctioneer reserves the right to resell them, retaining all proceeds as payment for unpaid storage and handling. Removal or Shipping: Winning bidders may choose to pick up their items or have them shipped. Shipping requests must be made via email to lewisauctionhouse@gmail.com before the end of the pickup period. Items will be shipped at actual cost with no handling fee. For items larger than 12”x12”x12” or fragile items, buyers must contact the auctioneer before bidding to confirm shipping availability. Lewis Auction House, LLC is not responsible for loss or damage during shipping except for items explicitly covered by this policy. Any items on an unpaid shipping invoice seven (7) days after the invoice is sent will be deemed abandoned and forfeited. PAYMENT TERMS Credit cards will be automatically drafted at the conclusion of the auction. Any alternative payment arrangements must be made before bidding. Full payment is due immediately upon auction closing. Accepted Payment Methods: - - _______ INITIAL Credit cards (automatically charged at auction close). Wire transfers and cashier’s checks are available for invoices over $1,000 and required for invoices over $3,500. 2 _______ INITIAL Buyer’s Premium & Sales Tax: A 15% Buyer’s Premium is in effect for this auction. Lewis Auction House, LLC will not collect sales tax on auction items. Responsibility & Forfeiture: Merchandise becomes the full responsibility of the bidder at the time of payment, and the bidder assumes all risks of loss or damage. If full payment is not received by the conclusion of the designated pickup period, Lewis Auction House, LLC reserves the right to resell the property. The bidder will remain responsible for the original purchase price, collection costs, and any damages resulting from the resale. All participants must be at least 18 years old 5. BUYER DEFAULT If the Buyer fails to make full payment within the designated Payment Period, they will be considered in default. In such cases, the Auction Item(s) will be re-listed in a subsequent online auction, and a 15% re-listing fee—based on the original selling price—will be charged to the Buyer's account. By registering a valid credit card with Lewis Auction House, LLC, the Buyer authorizes the Auctioneer to charge any applicable re-listing fees to the registered credit card. A Buyer default also occurs if the Buyer fails to pick up an item that requires significant effort to remove from the property. In such instances, the Buyer agrees to pay reasonable removal charges incurred for handling the item’s removal at the conclusion of the auction. 6. DEBT COLLECTION & INTEREST CHARGES The bidder agrees to cover all reasonable attorney fees and costs incurred by Lewis Auction House, LLC in collecting unpaid funds. A 2% monthly interest fee will be added to any outstanding balance. All debt collection and dispute proceedings will take place in Davidson County, Tennessee. 7. GUARANTY AGREEMENT By placing a bid on behalf of a business entity or corporation, the individual submitting the bid personally guarantees payment of any amount not paid when due, along with all associated collection costs, including reasonable attorney fees. 8. LIMITATION OF LIABILITY If Lewis Auction House, LLC is unable to deliver any purchased item or required documentation, its sole liability will be limited to refunding the amount paid for the purchase upon its return by the buyer. This liability does not extend to INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. 9. DISCLAIMER OF WARRANTIES All items are sold “as is” and “where is” without any representations or warranties, express or implied. Lewis Auction House, LLC expressly disclaims all warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The bidder acknowledges that they have had the opportunity to inspect items before bidding and agrees 3 _______ INITIAL _______ INITIAL that no guarantees, warranties, or assurances—express or implied—are made regarding the condition, authenticity, or suitability of any auction item. Lewis Auction House, LLC shall not be responsible for any defects, errors, or omissions in the description of any item and shall not be liable for any consequential, incidental, or special damages resulting from the purchase or use of any item. 10. Age Requirement You must be at least 18 years of age to participate in auctions conducted by Lewis Auction House, LLC. 11. DISPUTES, INDEMNIFICATIONS & DAMAGES Any disputes with Lewis Auction House, LLC must first be submitted to mediation, with costs shared equally. If unresolved, disputes will be settled through binding arbitration under the American Arbitration Association rules. This Agreement is governed by Tennessee law, with disputes resolved in Davidson County, Tennessee. You agree to indemnify and hold harmless the Auctioneer, its officers, employees, and agents from any claims, damages, or losses arising from your participation in the auction, including the purchase and removal of Property. This indemnification obligation survives the auction’s conclusion. Because Lewis Auction House, LLC is not the seller in auction transactions, you waive any claims against it related to disputes between buyers and sellers. This waiver is a material term of this Agreement. This Agreement, including all incorporated Auction Rules, constitutes the entire agreement between the parties. Amendments must be in writing and signed by both parties. If any provision is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.
