TERMS OF BIDDING AND SALE
IMPORTANT - PLEASE READ BEFORE REGISTERING OR BIDDING. By creating or using a bidder account, clicking an acceptance box, submitting a bid, placing a proxy or maximum bid, or otherwise participating in an auction conducted by LEAP Auctions LLC ("LEAP" or "Auction Company"), the bidder and any person or entity on whose behalf the bidder acts (collectively, "Bidder" or "Buyer") acknowledge that they have read, understand, and agree to be legally bound by these Terms of Bidding and Sale ("Terms"), together with any auction-specific terms, lot descriptions, announcements, invoices, and posted pickup or payment instructions incorporated into these Terms. Each bid is made subject to these Terms.
1. Definitions and Scope
"Auction" means any live, online, simulcast, timed, or other auction conducted or administered by LEAP. "Lot" means each item or group of items offered under a single lot number. "Winning Bid" or "Hammer Price" means the final accepted bid for a Lot before any Buyer's Premium, online fee, tax, title fee, processing fee, storage, transportation, or other charge. "Purchase Price" means the Winning Bid plus all Buyer's Premiums, online fees, taxes, title or processing fees, and other amounts shown on the LEAP invoice. "Business Day" means Monday through Friday, excluding federal banking holidays. Each Lot is a separate transaction and separate contract of sale.
These Terms apply to every Auction unless LEAP expressly posts different or additional auction-specific terms. Auction-specific terms supplement these Terms and control only to the extent they expressly conflict with a general provision here. Terms imposed by an independent bidding platform may also apply to use of that platform, but do not modify Bidder's obligations to LEAP unless LEAP expressly agrees in writing.
2. Eligibility; Registration; Authority to Bid
Bidder represents that Bidder is at least eighteen (18) years old, has legal capacity to contract, has provided complete and accurate registration information, and is not prohibited by law from purchasing the Lot. LEAP may require identification, proof of funds, a bank letter, deposit, credit-card authorization, or other information as a condition to registration or continued bidding and may approve, suspend, or revoke bidding privileges in its discretion.
If a person registers or bids for a corporation, limited liability company, partnership, trust, estate, governmental entity, or other principal, that person represents and warrants that he or she has authority to bind the principal. Unless LEAP expressly approves otherwise in writing before bidding, the individual who registers or places the bid and the represented principal are jointly and severally responsible for all obligations arising from the bid and purchase.
3. Auction Format; Reserve; Seller Confirmation; Withdrawal of Lots
Unless a Lot is expressly advertised as "absolute" or "without reserve," the Auction and each Lot are with reserve. A Lot may also be expressly stated to be subject to Seller confirmation. To the fullest extent permitted by law, LEAP may reject any bid, refuse bidding privileges, withdraw or cancel any Lot before the sale is completed, combine or divide Lots, alter the order of sale, or correct an error in the offering. Any reserved right of a Seller to bid will be disclosed as required by applicable law.
LEAP may accept and execute absentee, proxy, or maximum bids submitted by bidders. LEAP may establish bid increments and may change increments during the Auction.
4. Bids; Bid Acceptance; Bid Disputes; Finality of Sale
A bid is an offer to purchase the Lot on these Terms. To the fullest extent permitted by law, bids may not be withdrawn or retracted after submission. A sale is complete when LEAP announces or electronically records the Lot as sold, closes the Lot, or otherwise accepts the final bid in the customary manner for that Auction. The highest bid accepted by LEAP is the Winning Bid. All sales are final, subject only to any nonwaivable right provided by applicable law.
LEAP has final authority to determine the successful bidder, resolve tie bids or bidding disputes, reject a bid that LEAP believes was made in error or is not in the Seller's best interest, and, when permitted by law, reopen bidding or resell a Lot if LEAP determines that a material bidding or clerical error occurred.
5. Inspection; Lot Descriptions; No Reliance
Bidders are strongly encouraged to inspect each Lot before bidding. By bidding, Bidder represents that Bidder has inspected the Lot to the extent desired or has voluntarily elected not to inspect it, and has independently determined the Lot's condition, suitability, value, authenticity, age, model, serial number, mileage, hours, measurements, quantity, safety, regulatory compliance, and fitness for Bidder's intended use.
Catalogs, photographs, videos, condition reports, descriptions, serial numbers, VINs, model years, mileage, hour-meter readings, bale counts, acreage, capacities, weights, measurements, and statements concerning condition or history are provided only as a convenience and are based on information believed reliable, including information supplied by the Seller. They are not guaranteed. LEAP may correct, supplement, or update a description before the Lot closes, and any posted correction or Auction-day announcement controls over an earlier description. Bidder is responsible for reviewing all updates before bidding.
6. AS IS, WHERE IS, WITH ALL FAULTS; Disclaimer of Warranties
ALL LOTS ARE SOLD "AS IS, WHERE IS, WITH ALL FAULTS," WITHOUT RECOURSE TO LEAP. TO THE FULLEST EXTENT PERMITTED BY LAW, LEAP AND THE SELLER DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CONDITION, QUALITY, DESIGN, CAPACITY, SAFETY, TITLE EXCEPT AS EXPRESSLY PROVIDED FOR TITLED PROPERTY, OR COMPLIANCE WITH ANY LAW, REGULATION, SAFETY STANDARD, EMISSIONS STANDARD, OR OTHER REQUIREMENT.
No statement by LEAP, its employees, representatives, the Seller, or any third party creates a warranty unless LEAP expressly states in a written auction-specific term that a warranty applies. Bidder is not relying on any oral statement, estimate, opinion, photograph, video, catalog description, or representation as a substitute for Bidder's own inspection and investigation.
7. Auction Site; Assumption of Risk; Release
AUCTION, INSPECTION, STORAGE, AND PICKUP LOCATIONS MAY CONTAIN HEAVY EQUIPMENT, MOVING VEHICLES, UNEVEN SURFACES, LIVE ELECTRICAL CIRCUITS, FLAMMABLE, NOXIOUS, CORROSIVE, PRESSURIZED, OR OTHER HAZARDOUS MATERIALS OR CONDITIONS. BIDDER ENTERS ANY SUCH LOCATION AT BIDDER'S OWN RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, BIDDER ASSUMES THE RISKS INHERENT IN INSPECTING, LOADING, REMOVING, TRANSPORTING, AND USING A LOT AND RELEASES LEAP, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES FROM CLAIMS FOR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM THOSE ACTIVITIES OR CONDITIONS, INCLUDING CLAIMS CAUSED IN WHOLE OR IN PART BY LEAP'S ORDINARY NEGLIGENCE, BUT EXCLUDING GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LAWFULLY BE WAIVED.
8. Risk of Loss; Insurance; Security of Purchased Property
Risk of loss, theft, damage, or deterioration of a Lot passes to Buyer when the sale of the Lot is completed, even though possession, title documents, or physical delivery may occur later. Buyer is responsible for promptly obtaining any desired insurance. LEAP is not an insurer or bailee of purchased property and is not responsible for loss, theft, vandalism, weather damage, fire, casualty, or other damage occurring after the Lot is sold, except to the extent liability cannot lawfully be disclaimed.
9. Buyer's Premium; Online Fee; Credit-Card Fee
Unless an auction-specific listing expressly states a different rate, LEAP charges a Buyer's Premium of 18%. This is a single percentage applied to the entire Winning Bid.
An online buyer fee of three percent (5%) is added to purchases made through an online bidding platform, unless otherwise posted. Credit-card payments are subject to an additional four and one-half percent (4.5%) processing/convenience fee, unless otherwise posted. The Buyer's Premium and applicable fees are earned when the Lot is sold and are part of Buyer's contractual obligation to LEAP.
10. Taxes; Title and Registration; Invoice Name
Buyer is responsible for all sales, use, motor-vehicle, TERP, excise, title, registration, documentary, transfer, and similar taxes or governmental fees applicable to the purchase. Any claimed exemption must be supported by documentation acceptable to LEAP before payment is processed. LEAP is not required to refund tax after payment merely because Buyer later produces exemption documentation.
Unless otherwise posted, each Lot requiring a transferable title is subject to a $35.00 title/processing fee. Title and registration charges may be collected at the time required by law rather than at the Auction. The name on the bidder account and invoice will be used for title documents unless LEAP approves a change in writing before processing. Buyer is responsible for the accuracy of the name and information supplied for title or registration purposes.
11. Payment Terms
The LEAP-generated invoice, as corrected for any clerical error, states the controlling amount due. No third-party invoice, platform receipt, preliminary estimate, or other communication changes the amount owed unless confirmed by LEAP in writing.
FULL PAYMENT IN CLEARED FUNDS IS DUE NO LATER THAN THE END OF THE THIRD (3RD) BUSINESS DAY FOLLOWING COMPLETION OF THE AUCTION, unless LEAP posts or agrees to an earlier deadline in writing.
Wire transfer is preferred. Cash may be accepted only at LEAP's office during posted business hours. Cashier's checks or other checks are accepted only with LEAP's prior approval and any bank verification LEAP requires. Credit-card payment may be accepted for invoices below the limit stated by LEAP (currently $2,500.00 unless otherwise posted) and is subject to the applicable processing fee. LEAP does not accept second- or third-party credit cards. Buyer authorizes LEAP, to the extent disclosed and permitted by the applicable payment authorization, to charge an authorized card on file for amounts due.
Buyer shall not stop payment or initiate a chargeback to avoid a contractual payment obligation or to obtain a remedy inconsistent with these Terms. This provision does not waive any nonwaivable right regarding an unauthorized or fraudulent transaction.
12. No Release Until Paid; Security Interest; Setoff
No Lot will be released, loaded, delivered, or permitted to leave the designated location until LEAP has received full payment in cleared funds, all required documents have been signed or delivered, and LEAP has issued any required release authorization. LEAP may withhold all Lots purchased under any bidder number or related bidder account until all amounts owed to LEAP from that Buyer are paid.
To secure all obligations arising from a purchase, Buyer grants to LEAP and, as applicable, the Seller, a security interest in each purchased Lot and its identifiable proceeds until all amounts due are paid in full. Buyer authorizes the filing of any financing statement reasonably necessary to evidence or perfect that security interest. LEAP may apply any deposit, payment, credit balance, or other amount otherwise payable to Buyer against any matured amount Buyer owes to LEAP, to the extent permitted by law.
13. Buyer Default; LEAP Possession, Transportation, Storage, Resale, and Damages
A. Default After Three Business Days.
If LEAP has not received full payment in cleared funds by the deadline stated in Section 11, Buyer is automatically in material default without further demand or notice. In addition to any other remedy, LEAP may refuse release of all Lots, suspend or permanently revoke Buyer's bidding privileges, report the default to the applicable bidding platform, and pursue collection.
B. LEAP May Take Custody and Store the Lot.
Upon Buyer's payment default, Buyer authorizes LEAP, acting for itself and/or the Seller, to take custody or possession of the unpaid Lot from the auction site, Seller's premises, or other location where the Lot is held and to arrange for loading, towing, transportation, unloading, handling, security, insurance, and storage at a location selected by LEAP. Buyer is responsible for all charges and expenses associated with those actions, including third-party charges and LEAP's then-posted fees or, if no fee is posted, a commercially reasonable charge. If a Lot has been released despite unpaid funds, LEAP and/or the Seller may recover possession to the extent permitted by law and without breach of the peace.






C. Thirty-Day Default; Termination of Buyer's Rights and Resale.
If, by the thirtieth (30th) calendar day after completion of the Auction, Buyer has not (i) paid all amounts due in full and (ii) retrieved the Lot as required by LEAP, LEAP may declare the original sale terminated and Buyer's right to acquire, possess, or claim the Lot forfeited and extinguished. LEAP may thereafter resell the Lot, as agent for the Seller and/or as a person entitled to exercise a seller's remedies, by another public auction, online auction, private or negotiated sale, or any other commercially reasonable method. LEAP may select the timing, place, method, and terms of resale in good faith with the objective of obtaining the highest reasonable price under the circumstances and is not required to delay resale in anticipation of a potentially better market.
D. Amounts Owed by Defaulting Buyer.
After resale, the original defaulting Buyer remains liable to LEAP and/or the Seller, as applicable, for each of the following: (1) the positive difference, if any, between the original Winning Bid and the gross resale price of the Lot (the "Resale Deficiency"); (2) the entire Buyer's Premium calculated on the original Winning Bid, together with any applicable online buyer fee that would have been due on the original purchase; (3) all transportation, towing, loading, unloading, handling, storage, security, insurance, preservation, repair reasonably necessary to preserve value, title, advertising, remarketing, resale, and other commercially reasonable expenses caused by the default; (4) all other amounts expressly recoverable under these Terms; and (5) the Liquidated Damages described below. A resale at a price greater than the original Winning Bid does not entitle the defaulting Buyer to a profit or surplus.
E. Agreed Liquidated Damages - 25% of Original Winning Bid.
In addition to the Resale Deficiency, Buyer's Premium, transportation and storage charges, and other amounts stated above, the defaulting Buyer agrees to pay LEAP liquidated damages equal to twenty-five percent (25%) of the original Winning Bid. Buyer and LEAP agree that a winning bidder's failure to pay and complete the purchase causes losses that are difficult or impracticable to determine accurately when the bid is made, including disruption of the auction process, delay in settlement and disposition of the Seller's property, additional administrative and staff time, loss of market exposure and timing, disruption of remarketing efforts, loss of bidder confidence, and other operational and reputational harm that are not fully measured by the Resale Deficiency, Buyer's Premium, or reimbursement of specific transportation and storage charges. Buyer and LEAP intend the 25% amount as a reasonable advance estimate of those separate, difficult-to-quantify losses and not as a penalty. LEAP will not obtain a double recovery for the same category of loss.
If a court determines that all or any portion of the liquidated-damages provision is unenforceable, that determination will not affect the enforceability of Buyer's obligations to pay the Resale Deficiency, Buyer's Premium, transportation, storage, collection expenses, or other actual and incidental damages recoverable under these Terms or applicable law, and the provision shall be enforced to the maximum extent permitted by law.
14. Removal and Pickup of Paid Lots
Unless auction-specific terms state otherwise, purchased Lots must be removed within ten (10) Business Days after the Auction and during the posted pickup hours or by appointment. Buyer is solely responsible for arranging and paying for loading, dismantling, rigging, hauling, shipping, permits, labor, and insurance. LEAP may require proof of insurance and may prohibit unsafe loading or removal practices.
A fully paid Lot not removed by the applicable pickup deadline is subject to storage and handling charges at LEAP's then-posted rates or, if no rate is posted, at a commercially reasonable rate, together with any third-party expenses. LEAP may move the Lot to another storage location at Buyer's expense. Payment of the Purchase Price does not eliminate Buyer's obligation to timely remove the Lot.
15. Online and Simulcast Bidding; Technology Risk
Online and simulcast bidding may be provided through one or more independent third-party platforms. LEAP does not control and is not responsible for a platform's internet connection, software, servers, bid transmission delay, device malfunction, outage, dropped connection, email or text delivery, or other technology failure. The platform and LEAP records control the time and receipt of online bids. Bidder is responsible for bidding early enough to account for transmission delay and is encouraged to use a maximum/proxy bid when available.
Failure to receive an invoice, outbid notice, winning notice, payment reminder, or pickup notice does not relieve Buyer of any obligation. Bidder is responsible for monitoring the bidder account and contacting LEAP promptly if an expected communication is not received.
16. Title Documents; Inability to Deliver a Lot or Clear Title
For a Lot requiring a certificate of title or other ownership document, LEAP will process or deliver available documents after full payment and satisfaction of applicable requirements. Mailing, governmental processing, lien release, or third-party delays may extend the time required to provide title documents.
If, despite reasonable efforts, LEAP and the Seller are unable to deliver a purchased Lot or provide marketable/transferable title when title is required, LEAP may cancel the sale. Buyer's exclusive monetary remedy against LEAP for that Lot is return of amounts actually paid to LEAP for the Lot, except to the extent applicable law requires a different remedy. Buyer shall return or surrender the Lot if it has been delivered.
17. Indemnity for Buyer's Conduct
Buyer shall defend, indemnify, and hold harmless LEAP, the Seller, and their respective owners, officers, employees, agents, and representatives from third-party claims, damages, liabilities, fines, penalties, costs, and reasonable attorneys' fees arising out of or relating to (a) Buyer's or Buyer's agents' inspection, loading, dismantling, removal, transportation, possession, use, resale, or disposal of a Lot; (b) damage caused by Buyer or Buyer's agents to the auction site, Seller's property, or property of another person; or (c) Buyer's violation of law or these Terms. This indemnity does not require Buyer to indemnify a protected party for that protected party's gross negligence or willful misconduct.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LEAP WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF USE, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM AN AUCTION, A LOT, A TECHNOLOGY FAILURE, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MIGHT OCCUR.
Nothing in these Terms excludes liability that cannot lawfully be disclaimed or limited.
19. Communications and Electronic Notice
Buyer consents to receive invoices, payment notices, pickup instructions, default notices, and other transaction-related communications electronically at the email address, telephone number, or bidder-account contact information provided during registration. Buyer is responsible for maintaining accurate contact information and for checking spam or junk folders. A notice sent to the most recent contact information provided by Buyer is effective when transmitted, subject to any nonwaivable notice requirement imposed by law.
20. No Assignment; No Transfer of Bid or Purchase Rights
Buyer may not assign, delegate, sell, transfer, or otherwise convey any bid, bidder number, invoice, right to purchase, right to receive title, right to possession, or obligation under these Terms without LEAP's prior written consent, which LEAP may withhold in its discretion. Any attempted assignment or transfer without LEAP's written consent is void as against LEAP and does not release the original Buyer from any obligation. LEAP may assign its contractual rights, payment rights, or collection rights to the Seller, a financing or collection provider, or a successor in interest.
21. Governing Law; Performance in Robertson County; Mediation; Venue and Jurisdiction
These Terms and every bid, purchase, invoice, and dispute arising from or relating to an Auction are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. All payment and other obligations owed by Buyer to LEAP are agreed to be performable in Robertson County, Texas.
Before filing a lawsuit, the parties shall make a good-faith effort to mediate the dispute, unless emergency injunctive, repossession, sequestration, lien, limitations, or other provisional relief is reasonably necessary. A party may seek such relief without first completing mediation.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE TEXAS VENUE LAW, BUYER AND LEAP AGREE THAT ANY SUIT OR PROCEEDING PERTAINING TO THE ENFORCEMENT OR INTERPRETATION OF THESE TERMS, OR ARISING FROM OR RELATING TO ANY BID, AUCTION, PURCHASE, PAYMENT, DEFAULT, OR LOT, SHALL BE BROUGHT EXCLUSIVELY IN A STATE DISTRICT COURT LOCATED IN ROBERTSON COUNTY, TEXAS. BUYER CONSENTS TO PERSONAL JURISDICTION IN TEXAS AND WAIVES ANY OBJECTION TO THAT FORUM OR VENUE.
22. Interest; Collection Costs; Attorneys' Fees
Past-due monetary obligations accrue interest from the due date at eighteen percent (18%) per annum or the maximum lawful rate, whichever is less. Buyer shall reimburse LEAP for reasonable costs of collection resulting from Buyer's default, including filing fees, repossession or recovery expenses, and reasonable attorneys' fees and legal expenses, whether incurred before suit, at trial, on appeal, in bankruptcy, or in post-judgment collection, to the extent permitted by law.
23. Suspension of Bidding Privileges; Reporting of Default
LEAP may suspend or permanently revoke a bidder account for nonpayment, chargeback, failure to remove a Lot, fraudulent or disruptive conduct, violation of these Terms, or other conduct LEAP reasonably determines threatens the integrity or orderly operation of an Auction. LEAP may report a payment default or bidding violation to the online bidding platform through which the bid was submitted and may share information reasonably necessary to collect amounts due or enforce these Terms, subject to applicable law.
24. Entire Agreement; Amendments; No Waiver; Severability
These Terms, together with the applicable auction-specific terms, lot-specific disclosures, announcements, and LEAP invoice, constitute the agreement governing the bid and purchase and supersede prior or contemporaneous discussions concerning those subjects. No oral statement modifies these Terms. LEAP may amend general website terms prospectively by posting revised terms, but the version accepted by Bidder for a particular Auction governs that Auction unless the parties later agree in writing.
Failure by LEAP to enforce a provision on one occasion is not a waiver of that provision or any other provision. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision shall be enforced to the maximum extent permitted by law. Headings are for convenience only and do not limit the meaning of any provision.
25. Electronic Acceptance; Copies
Electronic acceptance, bidder registration, and electronic bidding constitute Buyer's signature and assent to these Terms. Electronic records, platform records, LEAP's bidder logs, invoices, and copies of these Terms may be used to establish the parties' agreement and transaction history to the same extent as original paper records.
26. Texas Auctioneer Notice
LEAP Auctions LLC is a Texas auction company. Auctioneer: Kinney Lester, Texas Auctioneer License No. 17746. LEAP and its auctioneer are licensed and regulated by the Texas Department of Licensing and Regulation (TDLR). Applicable auction terms, including any Buyer's Premium, will be disclosed as required by law.
ACKNOWLEDGMENT: BY REGISTERING OR BIDDING, BIDDER ACKNOWLEDGES THAT BIDDER HAS READ, UNDERSTANDS, AND AGREES TO THESE TERMS, INCLUDING THE AS-IS DISCLAIMER, RELEASE, BUYER-DEFAULT REMEDIES, LIQUIDATED-DAMAGES PROVISION, ANTI-ASSIGNMENT PROVISION, AND ROBERTSON COUNTY VENUE PROVISION.
