These Terms & Conditions apply to all auctions conducted by 1111 Jewelry Store, L.L.C. unless otherwise announced in writing for a specific auction.

1. Agreement
PLEASE READ THESE TERMS & CONDITIONS CAREFULLY.
By registering to bid, placing a bid, or participating in any auction conducted by 1111 Jewelry Store, L.L.C. (“Auction Company”), whether through LiveAuctioneers or another authorized bidding platform, each Bidder acknowledges having read, understood, and agreed to be legally bound by these Terms & Conditions.
If you do not agree to these Terms & Conditions, do not register or bid.
Capitalized terms used in these Terms & Conditions have the meanings set forth in Section 24 (Definitions).
Unless otherwise announced, the Auction Company acts solely as agent for the Consignor. A binding contract of sale is formed when the Auctioneer accepts the highest qualifying bid, at which time the successful Bidder becomes the Buyer.
By placing a bid, each Bidder acknowledges having had the opportunity to inspect the Lot, carefully review all photographs, request additional information, obtain a condition report when available, and ask questions before bidding.
Questions concerning any Lot or these Terms & Conditions should be submitted before bidding.

2. Registration
All Bidders shall register before bidding and provide accurate, current, and complete registration information.
The Auction Company may approve, deny, suspend, or revoke registration at its sole discretion and may require government-issued identification, credit card verification, financial references, proof of address, or a refundable deposit.
By registering, each Bidder represents that all information provided is true and complete and agrees to maintain accurate contact and payment information.
The Auction Company reserves the right to request additional information at any time to verify a Bidder’s identity or eligibility to participate.
Registration may be refused or cancelled whenever fraud, unauthorized activity, abusive conduct, threats, payment irregularities, or other conduct detrimental to the integrity of the auction is reasonably suspected.

3. Bidding
Each bid constitutes a legally binding offer to purchase.
Bidders are solely responsible for every bid placed under their account, including accidental, mistaken, or unauthorized bids.
A bid may not be withdrawn after recognition by the Auctioneer except as required by applicable law.
The Auctioneer may establish bid increments, reject bids, reopen bidding, withdraw, combine, divide, pass, or reoffer Lots, resolve bidding disputes, determine the successful Bidder, correct clerical or administrative errors, and postpone, suspend, or cancel any sale whenever reasonably necessary to protect the interests of the Consignor, Bidders, or the integrity of the auction.
The Auctioneer’s decisions regarding the conduct of the auction, bidding, and resolution of bidding disputes shall be final.
In the event of a bidding dispute, the Auction Company’s records and the electronic records maintained by the bidding platform shall be conclusive.

4. Reserve Prices
Unless otherwise announced, any Lot may be offered subject to a confidential reserve. A reserve is the minimum selling price agreed upon between the Consignor and the Auction Company below which a Lot will not be sold.
The Auctioneer may implement the reserve by opening bidding on a Lot or placing successive or consecutive bids on behalf of the Consignor up to, but not exceeding, the reserve amount, as permitted by applicable law and the rules of the bidding platform.
In no event shall the Auctioneer place a bid on behalf of the Consignor above the reserve amount. Such bidding shall not be used to increase the bid of any bona fide Bidder beyond that Bidder’s maximum authorized bid.
If the reserve is not met, the Auctioneer may declare the Lot Passed, Withdrawn, or Unsold, or offer the Lot for post-auction sale at the Auction Company’s reasonable discretion.

5. Buyer’s Premium
A 23% Buyer’s Premium will be added to the Hammer Price of each Lot unless otherwise announced.
The Buyer is responsible for payment of the Purchase Price, together with all applicable shipping, insurance, taxes, duties, customs fees, and other applicable charges.

6. Payment
Invoices will be transmitted electronically unless otherwise arranged.
Payment is due immediately upon receipt of the invoice and no later than three (3) days after the close of the auction unless prior written arrangements have been approved by the Auction Company.
Invoices not paid within three (3) days after the close of the auction will be automatically charged to the credit card on file through LiveAuctioneers AutoPay, in accordance with LiveAuctioneers’ payment policies. By registering to bid, each Bidder authorizes such charges.
The Auction Company may require payment by wire transfer, ACH, cashier’s check, certified funds, or other approved payment methods.
Returned payments, declined credit card transactions, payment reversals, or chargebacks constitute Buyer default under these Terms & Conditions.
The Auction Company may delay shipment or release of any Lot until all funds have cleared.
The Buyer is responsible for reviewing the invoice promptly upon receipt and notifying the Auction Company of any billing questions before the LiveAuctioneers AutoPay processing date.
Acceptance of any payment method is subject to verification and does not waive the Auction Company’s right to require alternative forms of payment before releasing any Lot.

7. Sales Tax
Applicable sales tax will be collected unless the Buyer provides a valid resale or exemption certificate before invoicing.
Buyers are responsible for all applicable federal, state, and local taxes, customs duties, import or export fees, and other governmental charges associated with their purchase.
8. Auction Announcements
Announcements, corrections, or additional information made before or during the auction, whether written or verbal, shall take precedence over any prior catalog description, photograph, advertisement, estimate, or other published material.

9. Shipping & Pickup
All eligible Lots requiring shipment will be carefully packaged by the Auction Company and shipped through LiveAuctioneers LiveShipping.
Shipping charges are calculated through the LiveAuctioneers LiveShipping program and are not established by the Auction Company.
All shipments will be insured for their full Purchase Price.
The Buyer is responsible for all shipping, handling, insurance, customs duties, taxes, import or export fees, and all other shipping-related charges.
Purchased property will not be released until the Purchase Price and all applicable shipping charges have been paid in full with cleared funds.
Multiple purchases may be combined for shipment whenever practical.
The Buyer is responsible for providing an accurate shipping address. Any additional shipping charges resulting from an incorrect or incomplete address supplied by the Buyer shall be the Buyer’s responsibility.
To the fullest extent permitted by applicable law, once a Lot has been delivered to the shipping carrier, the Auction Company shall not be responsible for delays, loss, damage, or delivery errors occurring during transit. Shipping claims should be submitted directly to the shipping carrier or insurer.

10. Inspection, Condition & Photographs
ALL LOTS ARE SOLD “AS IS, WHERE IS,” WITH ALL FAULTS.
Bidders are strongly encouraged to inspect each Lot, carefully review all photographs, request additional information, obtain a condition report when available, and ask questions before bidding.
Catalog descriptions, photographs, dimensions, weights, gemstone identifications, diamond grades, metal content, provenance, estimates, and condition reports represent the Auction Company’s opinion and are not warranties or guarantees.
Photographs form part of the Lot description and should be carefully reviewed before bidding. Variations in color, size, and appearance may occur due to lighting, photography, monitor settings, screen resolution, or individual device displays.
The absence of a condition report does not imply that a Lot is free from defects, repairs, alterations, restorations, replacement stones, replacement parts, resizing, or normal wear.
A Bidder relying upon an oral statement not confirmed in writing does so entirely at the Bidder’s own risk.

11. Jewelry, Watches & Luxury Goods
Unless expressly stated otherwise, references to gemstone identity, origin, treatment, enhancement, diamond grades, precious metal fineness, designer attribution, provenance, dimensions, and weights represent the Auction Company’s opinion based upon available information and are not guarantees.
Any statement regarding gemstone origin or treatment reflects the Auction Company’s opinion unless supported by an independent laboratory report specifically identified in the Lot description.
Gemstone weights, precious metal weights, and measurements are approximate unless expressly stated otherwise.
Estate, vintage, and pre-owned jewelry commonly exhibit normal wear, previous repairs, resizing, restorations, replacement stones, replacement components, or other conditions consistent with age and ordinary use.
Mechanical watches are not guaranteed for accuracy, water resistance, service history, future performance, or continued operation unless expressly stated in the Lot description.

12. All Sales Final
ALL SALES ARE FINAL.
No returns, refunds, exchanges, cancellations, credits, or adjustments will be permitted except as required by applicable law or expressly approved in writing by the Auction Company.

13. Compliance With Laws
The Buyer is solely responsible for complying with all applicable federal, state, and local laws relating to the purchase, possession, transportation, resale, export, import, or use of any Lot.
The inability to obtain permits, licenses, governmental approvals, or shipping authorization shall not relieve the Buyer of the obligation to complete the purchase.
14. Buyer Default
Failure to comply with these Terms & Conditions constitutes a default by the Buyer.
If the Buyer fails to make timely payment or otherwise breaches these Terms & Conditions, the Auction Company may, without limitation:
a. Charge the credit card on file through LiveAuctioneers AutoPay, where applicable;
b. Cancel the sale;
c. Resell the Lot at public or private sale;
d. Hold the Buyer liable for the Purchase Price, any deficiency upon resale, the Buyer’s Premium, storage charges, collection costs, attorney’s fees, court costs, interest where permitted by applicable law, and all other damages available under applicable law;
e. Retain any payments previously received, where permitted by applicable law;
f. Delay shipment or withhold release of any Lot until all outstanding balances have been paid in full;
g. Suspend or permanently revoke the Buyer’s bidding privileges;
h. Report the Buyer to the applicable bidding platform; and
i. Pursue any other legal or equitable remedy available.
The Buyer shall remain liable for the Purchase Price until paid in full or the Lot has been resold by the Auction Company.
Where permitted by applicable law, the Auction Company may offset amounts owed by the Buyer against funds otherwise payable to the Buyer.
Buyers with unpaid invoices or accounts in default may not participate in future auctions conducted by the Auction Company until all outstanding balances have been satisfied.
The Auction Company may delay shipment, cancel a sale, or withhold release of any Lot while investigating suspected fraud, unauthorized activity, identity verification issues, payment irregularities, or chargebacks.

15. Limitation of Liability
To the fullest extent permitted by applicable law, the Auction Company, the Auctioneer, the Consignors, and their respective owners, officers, employees, representatives, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in the auction or the purchase, shipment, or use of any Lot.
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Privacy
Bidder information is collected solely for bidder registration, payment processing, shipping, legal compliance, auction administration, fraud prevention, and related business purposes.
By registering, each Bidder consents to the use and disclosure of such information as reasonably necessary to administer the auction, complete the transaction, comply with applicable law, protect the Auction Company’s legal rights, or cooperate with the applicable bidding platform.
The Auction Company does not sell or knowingly disclose personal information except as provided in these Terms & Conditions or as required by applicable law.

17. Electronic Communications
By registering to bid, each Bidder consents to receive invoices, payment reminders, notices, and other auction-related communications electronically.
Electronic registration, bidding, invoices, notices, and acceptance of these Terms & Conditions shall have the same legal effect as if provided in paper form, to the extent permitted by applicable law.

18. Force Majeure
The Auction Company shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including acts of God, severe weather, fire, flood, war, terrorism, labor disputes, governmental actions, internet outages, utility failures, cyber incidents, pandemics, epidemics, or delays caused by shipping carriers.

19. Errors & Omissions
The Auction Company reserves the right to correct typographical, clerical, photographic, pricing, catalog, website, administrative, technical, or similar errors before, during, or after the auction.
Such corrections shall not invalidate an otherwise lawful sale.
20. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
Any legal action arising out of these Terms & Conditions or any auction conducted by the Auction Company shall be brought exclusively in a court of competent jurisdiction located within the State of Alabama.

21. Severability
If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement
These Terms & Conditions, together with any auction announcements, invoices, bidder registration information, the applicable bidding platform terms, and any written amendments issued by the Auction Company, constitute the entire agreement between the Auction Company, the Bidder, and the Buyer.
Announcements or written corrections made before or during the auction shall control in the event of any conflict with previously published material.

23. Interpretation
Section headings are provided solely for convenience and shall not affect the interpretation or construction of these Terms & Conditions.
Unless the context requires otherwise, words in the singular include the plural, words in the plural include the singular, and words importing any gender include all genders.

24. Definitions
For purposes of these Terms & Conditions:
Auction Company – 1111 Jewelry Store, L.L.C., the Alabama licensed online auction company conducting the auction on behalf of the Consignor.
Auctioneer – The licensed auctioneer conducting the sale on behalf of the Auction Company.
Bidder – Any individual or entity registered to bid or placing a bid.
Buyer – The successful Bidder upon acceptance of the highest qualifying bid by the Auctioneer.
Consignor – The owner of property consigned to the Auction Company for sale.
Lot – An individual item or grouping of items offered for sale.
Hammer Price – The highest accepted bid recognized by the Auctioneer.
Purchase Price – The Hammer Price, the 23% Buyer’s Premium, applicable sales tax, and all other amounts due under these Terms & Conditions.

25. Acceptance
By registering to bid, placing a bid, or participating in any auction conducted by 1111 Jewelry Store, L.L.C., each Bidder acknowledges having read, understood, and agreed to be legally bound by these Terms & Conditions.
Participation in the auction constitutes acceptance of these Terms & Conditions in their entirety.

To the fullest extent permitted by applicable law, the Auction Company, the Auctioneer, the Consignors, and their respective owners, officers, employees, representatives, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from participation in the auction or the purchase, shipment, or use of any Lot.
Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Privacy
Bidder information is collected solely for bidder registration, payment processing, shipping, legal compliance, auction administration, fraud prevention, and related business purposes.
By registering, each Bidder consents to the use and disclosure of such information as reasonably necessary to administer the auction, complete the transaction, comply with applicable law, protect the Auction Company’s legal rights, or cooperate with the applicable bidding platform.
The Auction Company does not sell or knowingly disclose personal information except as provided in these Terms & Conditions or as required by applicable law.

17. Electronic Communications
By registering to bid, each Bidder consents to receive invoices, payment reminders, notices, and other auction-related communications electronically.
Electronic registration, bidding, invoices, notices, and acceptance of these Terms & Conditions shall have the same legal effect as if provided in paper form, to the extent permitted by applicable law.

18. Force Majeure
The Auction Company shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including acts of God, severe weather, fire, flood, war, terrorism, labor disputes, governmental actions, internet outages, utility failures, cyber incidents, pandemics, epidemics, or delays caused by shipping carriers.

19. Errors & Omissions
The Auction Company reserves the right to correct typographical, clerical, photographic, pricing, catalog, website, administrative, technical, or similar errors before, during, or after the auction.
Such corrections shall not invalidate an otherwise lawful sale.
20. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
Any legal action arising out of these Terms & Conditions or any auction conducted by the Auction Company shall be brought exclusively in a court of competent jurisdiction located within the State of Alabama.

If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement
These Terms & Conditions, together with any auction announcements, invoices, bidder registration information, the applicable bidding platform terms, and any written amendments issued by the Auction Company, constitute the entire agreement between the Auction Company, the Bidder, and the Buyer.
Announcements or written corrections made before or during the auction shall control in the event of any conflict with previously published material.

Section headings are provided solely for convenience and shall not affect the interpretation or construction of these Terms & Conditions.
Unless the context requires otherwise, words in the singular include the plural, words in the plural include the singular, and words importing any gender include all genders.

24. Definitions
For purposes of these Terms & Conditions:
Auction Company – 1111 Jewelry Store, L.L.C., the Alabama licensed online auction company conducting the auction on behalf of the Consignor.
Auctioneer – The licensed auctioneer conducting the sale on behalf of the Auction Company.
Bidder – Any individual or entity registered to bid or placing a bid.
Buyer – The successful Bidder upon acceptance of the highest qualifying bid by the Auctioneer.
Consignor – The owner of property consigned to the Auction Company for sale.
Lot – An individual item or grouping of items offered for sale.
Hammer Price – The highest accepted bid recognized by the Auctioneer.
Purchase Price – The Hammer Price, the 23% Buyer’s Premium, applicable sales tax, and all other amounts due under these Terms & Conditions.

By registering to bid, placing a bid, or participating in any auction conducted by 1111 Jewelry Store, L.L.C., each Bidder acknowledges having read, understood, and agreed to be legally bound by these Terms & Conditions.
